In the role of Company Secretary, you will join the Group Company Secretary team as we strengthen our focus on winning together.

This role is accountable for the effective operation of a portfolio of NAB subsidiaries (as assigned from time to time) by providing company secretariat and corporate governance compliance services to those subsidiaries. This is a full time role (5 days per week) and we want someone with energy and resilience, someone who can foster collaboration in a dynamic environment. 

You’ll make an impact each day by: 

  • Performing Company Secretary duties for subsidiaries within your assigned portfolio, in line with the Corporations Act, each constitution and other relevant requirements. 
  • Ensuring each of those subsidiary boards meets their corporate governance and legal obligations, including preparing minutes and maintaining corporate records. 
  • Supporting the effective operation of subsidiary boards across your portfolio. 
  • Managing subsidiary reporting requirements as needed. 
  • Completing other governance activities that may be assigned by the NAB Deputy Company Secretary, Governance Operations from time to time. 
  • Proactively help manage risk and compliance matters related to subsidiaries and their boards. 

You’ll bring to this role:

  • Experience as a Company Secretary, ideally with a legal background or another relevant professional qualification. International experience and knowledge of UK and US corporate governance practices would be an advantage. 
  • Deep practical knowledge of good governance, gained in a Legal, Governance or Risk function within a major corporation. 
  • Strong knowledge of Corporations legislation and other governance requirements, and know how they affect a company’s day-to-day administration and governance. 
  • Flexibility to manage a broad mix of work, from complex to routine, while balancing multiple issues and priorities. 
  • A collaborative approach and willingness to support governance professionals across the team at different levels of experience. 
  • A proven track record as a trusted adviser to senior stakeholders. 
  • Strong attention to detail and excellent written and verbal communication skills, with the ability to navigate complex topics. 
  • A continuous improvement mindset.
